These Terms and Conditions govern the use of the Inosaki Sdn Bhd / Inosaki Enterprise Online store (“we,” “our,” or “us”) by any individual or entity (“Customer,” “you,” or “your”) who accesses or purchases from the website. By using our website or purchasing from us, you agree to these Terms and Conditions in full.

  • Order: The purchase request submitted by the Customer via the website.

2. Registration and Customer Responsibility

  • You agree to provide accurate and current information during the registration process, including your legal name, address, and contact details. You are responsible for updating your information as necessary.
  • You are responsible for maintaining the confidentiality of your Login and password. Any activity conducted under your Login will be deemed as your actions, and you agree to indemnify us for any damages, claims, or losses arising from unauthorized use of your Login.

3. Order Processing and Acceptance

  • After submitting your Order, you will receive an email acknowledging receipt. This does not confirm the acceptance of your Order or guarantee product availability.
  • We reserve the right to accept or decline your Order for any reason, including but not limited to stock unavailability, errors in product information, or technical issues. If an Order is partially fulfilled, we will communicate the unavailability of the remaining items and adjust the Order accordingly.

4. Pricing and Payment

  • All prices are listed in the currency specified on the website and do not include any applicable taxes or shipping fees. You are responsible for determining and paying any taxes (including sales tax, VAT, GST, or import duties) that may apply to your purchase. Shipping fees will be calculated and displayed at checkout, based on your selected shipping method and destination.
    Payment is due at the time of Order placement. We accept various payment methods, and by providing payment details, you warrant that you are authorized to use the chosen payment method.

5. Stock Availability and Substitutions

  • While we strive to maintain accurate stock information, availability may change without notice. In cases where the product is unavailable after you place your Order, we will inform you and provide options for substitution, backorder, or cancellation.

6. Product Descriptions and Images

  • Product images and descriptions are provided for reference only. We do not guarantee that the appearance of Products (including color, size, or packaging) will exactly match those shown on the website.

7. Shipping, Collection, and Delivery Terms

  • Ex-Work Delivery: All orders are subject to Ex-Work (EXW) terms. This means the customer is responsible for the collection of goods from our office at their own expense. The risk of loss or damage passes to you once the goods leave our premises.
  • Shipping Arrangements: Customers are required to arrange for their own shipping if they do not wish to collect the goods in person. Any alternative shipping arrangements must be discussed and confirmed via email (sales@inosaki.com or sales@inosaki.uk) prior to collection. Failure to communicate any shipping preferences within 3 days of receiving the payment confirmation will result in the default EXW terms being applied. We will notify you of the pick-up date.
  • Non-Agreement with EXW Terms: If the customer does not agree with the EXW shipping terms and contacts us within 3 days of payment confirmation, we may arrange a refund. However, finance processing fees will be deducted from the total payment amount before the refund is issued.
  • Non-Collection Policy: If the customer fails to collect the goods within the specified time frame and no refund has been requested, no refunds or cancellations will be granted. We will hold the goods for up to 6 months from the date of purchase. After this period, we reserve the right to dispose of or sell the goods without any compensation to the customer.

8. Warranty and Product Returns

  • Warranty Period: The warranty for all products will follow the original manufacturer’s warranty terms. By default, the warranty period is 1 year, with some products offering up to 3 years, as specified by the manufacturer.
  • Product Failure and Returns: Products found to be defective can be returned for repair or replacement, subject to manufacturer approval. However, customers are required to provide proof of product failure, and all troubleshooting steps provided by us must be followed before initiating a return.
  • Return Shipping Costs: The cost of returning defective products to us is the responsibility of the customer. After repair or replacement, we will ship the item back to you free of charge.
  • Misuse of Products: If the manufacturer determines that the product failure was caused by misuse, improper handling, or any other damage not covered under the warranty, the customer will be responsible for all costs, including repair charges and associated fees.
  • Return Process: To initiate a warranty claim or product return, please contact us at sales@inosaki.com or sales@inosaki.uk with your proof of failure and follow the steps provided. Unauthorized returns will not be accepted.

9. Limitation of Liability

  • We shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the website or Products.
  • Our total liability for any claim, whether based on contract, tort, or otherwise, will be limited to the amount you paid for the specific Product giving rise to the claim.

10. Unauthorized Access and Security

  • We implement reasonable security measures to protect against unauthorized access to our systems. However, we do not guarantee that the website will be free from unauthorized access or cyber-attacks. You agree that we are not liable for any loss or damage resulting from such events.

11. Indemnity

  • You agree to indemnify, defend, and hold harmless Inosaki Sdn Bhd or Inosaki Enterprise and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising out of or related to your use of the website, breach of these Terms, or violation of any law.

12. Personal Data and Privacy Policy

  • By using our site, you consent to the collection, processing, and use of your personal data as outlined in our Privacy Policy. We are committed to protecting your privacy and safeguarding your personal data.

13. Force Majeure

  • We will not be responsible for any delay or failure to fulfill an Order due to causes beyond our control, including but not limited to natural disasters, strikes, government regulations, or interruptions in the supply chain.

14. Governing Law and Jurisdiction

  • These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising from the use of the website or the purchase of Products shall be subject to the exclusive jurisdiction of the courts in Malaysia.

15. Refund Policy

At Inosaki Sdn Bhd / Inosaki Enterprise, we strive to ensure that our customers are satisfied with their purchases. Please read the following refund policy carefully to understand your rights and responsibilities.

  • Refund Eligibility
    Customers may request a refund within 3 days of payment confirmation. After this period, no refunds or cancellations will be accepted. To initiate a refund request, customers must email us at sales@inosaki.com or sales@inosaki.uk within the 3-day window, clearly stating the reason for the refund.
  • Refund Deduction for Financial Fees
    All refund requests will be processed after deducting any applicable financial or processing fees incurred by us during the transaction. These fees will be subtracted from the total payment amount before the refund is issued.
  • Non-Refundable Items
    Refunds will not be granted for:

    • Products that have been used or damaged after delivery.
    • Products with opened or tampered packaging unless a manufacturer defect is identified.
    • Orders that have passed the 3-day refund window.
    • Customized or special-order items.
  • Non-Refundable Situations
    If a customer fails to collect the purchased items within the specified time frame or does not arrange alternative shipping, and no refund has been requested within 3 days, the transaction is considered complete. No refunds will be provided under these circumstances. The products will be held for a maximum of 6 months, after which they may be disposed of without compensation to the customer.
  • Shipping Costs and Refunds
    Original shipping costs and any shipping fees associated with returning the item will not be refunded unless the return is due to a fault on our part, such as sending the wrong product or a defective product verified by the manufacturer.
  • Refund Processing Time
    Refunds will be processed within 14 business days after approval. The refunded amount will be credited back to the original payment method used for the purchase. Please note that bank processing times may vary.
  • Exchange and Product Modification
    Customers cannot exchange products or modify their orders after the 3-day cancellation period has passed. No changes to the model, color, or specification will be accepted after this time.

16. Modifications

  • We reserve the right to modify these Terms and Conditions at any time. The latest version will always be available on our website, and continued use of the website constitutes acceptance of the updated Terms.
